Terms of Service & Client Agreement

Applicability: All Annual Website & Domain Packages

Welcome to AMC Sites. By purchasing our annual website development, hosting, and domain management packages, you ("the Client") agree to be bound by the following Terms and Conditions. Please review them carefully before initializing your service.

1. Scope of Service & Operational Model

AMC Sites operates as a productized, managed agency service. We handle the technical construction, ongoing design modifications, optimization, and administration of your storefront or digital platform.

  • Development & Platform: All client infrastructure is built upon the Wix hosting architecture. AMC Sites maintains administrator/collaborator authorization to design, edit, and configure the technical properties of the site.

  • Client Operational Autonomy: The Client retains full commercial access and control over store operations, inventory management, product listings, fulfillment, client notifications, and direct financial oversight (including processing sales revenue, payouts, and customer refunds).

 

2. Annual Billing & Upfront Payment Structure

 

To provide stable, uninterrupted deployment, AMC Sites bills its comprehensive packages on an annual upfront basis. This package encompasses your software deployment access, routine management/maintenance provisions, and annual domain tracking/registration renewals.

While AMC Sites may internally clear continuous operational hosting liabilities on an ongoing monthly basis with infrastructure providers, the Client is strictly bound to an un-subdividable 12-month service term commitment paid in advance.

 

3. Comprehensive Cancellation & Refund Policy

 

Because significant technical assets, non-refundable third-party administrative registry costs (such as domain registration names), and software setup labor allocations occur immediately upon project initiation, the following refund protocols apply:

  • The Strict 10-Day Framework: Clients are entitled to file a cancellation and request a full refund strictly within ten (10) calendar days from the exact date of initial package purchase. Following the expiration of this 10-day window, all balances collected become entirely non-refundable and non-creditable for the remainder of the annual service lifecycle.

3.1 Mid-Cycle Early Cancellation

If the Client elects to discontinue service or close their enterprise mid-cycle (e.g., Month 3, Month 6), the client may request service termination at any point. However, no prorated or partial refunds will be calculated or issued for the remaining unused months of that annual cycle.

3.2 Operational Continuity After Cancellation

Upon registering an early cancellation request outside the 10-day grace window, AMC Sites will maintain the underlying website framework, continuous hosting architecture, and domain point-routing parameters completely operational until the final day of the Client's paid 12-month coverage term. The site will not be terminated immediately unless explicitly ordered by the Client in writing.

3.3 Automatic Renewal Rules

Annual accounts auto-renew precisely 365 days from the initial purchase date. To prevent automated renewal billing for a subsequent 12-month period, the Client must formalize a written cancellation directive to AMC Sites no less than thirty (30) days prior to the scheduled renewal invoice date.

 

4. Domain Registration, Ownership, & Management

 

AMC Sites acts as the manager and financial clearing administrator for your commercial web domains. Domain registration terms correspond completely with the ongoing annual contract cycle.

  • Failed Renewals or Arrears: If an annual package renewal invoice fails collection or falls into past-due status, AMC Sites reserves the right to immediately suspend domain routing, pause domain renewal execution, and allow the registry status to expire or drop. AMC Sites assumes zero operational liability for the loss of a domain name resulting from client payment defaults.

  • Domain Transfers: Should a client choose to migrate to an external provider at the conclusion of their paid term, domain transfer codes will be granted provided all outstanding internal agency balances are settled in full.

 

5. Store Operations & Financial Liability Disclaimer

Because the Client retains complete ownership of internal dashboard merchant accounts (including integrations with Wix Payments, Stripe, or PayPal):

AMC Sites stands entirely legally insulated from, and assumes zero liability or accountability for, any customer-facing financial disputes, transactional chargebacks, fraud events, inventory shortfalls, business disruptions, or individual consumer refunds initiated within the Client's digital store ecosystem.

 

6. Revisions & Contract Amendments

 

AMC Sites reserves the structural right to alter or adapt these Terms and Conditions to stay synchronized with underlying framework alterations or structural provider compliance shifts. Clients will be alerted to significant modifications via their email address of record.

7. Annual Editing Services & Project Scope Boundaries

 

To ensure balanced resource allocation, clients enrolled in an annual package are provided with routine editing privileges, structured under the following parameters:

  • Commencement of Editing Rules: The monthly editing restrictions and definitions outlined below take effect immediately after the Client approves the initial website design, is satisfied with the build, and agrees to publish the site live.

  • Monthly Edit Allowances: Each annual package includes a maximum of three (3) individual changes/edits per calendar month. Unused monthly edit allocations do not roll over into subsequent months.

  • Eligible Modifications (What Qualifies as an Edit): Standard edits are restricted to minor updates of existing content. This includes, but is not limited to, updating a product price, replacing an image, or modifying an existing paragraph of text.

  • Ineligible Modifications (What Does Not Qualify as an Edit): Requests that require a complete alteration of the website layout, structural design, or core system functionality fall outside the scope of standard maintenance. This includes the addition of entirely new features, pages, or complex integrations rather than updates to existing content.

  • Platform Restructuring: If a requested modification demands structural, layout, or systemic functional overhauls, it will not be executed under the routine editing allowance. In such instances, the Client will be required to purchase a separate or new website package to facilitate the deployment of the redesigned architecture.
